Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

  • Production Data refers to manufacturing, quality control, and operational data processed through the MAGDA platform.

  • Service refers to the MAGDA platform, including the website and software applications.

  • Subscription means the paid access to the MAGDA platform on a per-user basis.

  • Tenant means a separate instance of the MAGDA platform for a specific organization or client, accessible via subdomain (e.g., tenantname.magdaquality.com)

  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

  • Third-party Service Provider means any services or content provided by a third-party that may be integrated with or used by the Service, including Stripe for payment processing and Microsoft Azure for hosting.

  • Website refers to MAGDA, accessible from https://magdaquality.com

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Service and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Service Description

MAGDA is a Software as a Service (SaaS) platform designed for production and quality control management. The Service provides:

  • Multi-tenant architecture with isolated data environments
  • Production workflow management
  • Quality control and testing capabilities
  • Real-time progress tracking
  • Reporting and analytics
  • User management and access controls

Account Registration and Tenant Creation

To use the Service, you must:

  1. Register: Provide a valid email address and create a tenant name
  2. Email Verification: Confirm your email address through our verification process
  3. Payment: Complete payment through our secure Stripe checkout process
  4. Tenant Provisioning: Your dedicated tenant instance will be automatically created

Each tenant operates independently with its own subdomain (tenantname.magdaquality.com) and isolated data environment.

Subscription and Payment Terms

Pricing

  • Per User Plan: €49 per user per month
  • Custom Solutions: Pricing varies based on requirements and scope

Payment Processing

  • All payments are processed securely through Stripe
  • Subscriptions are billed monthly in advance
  • Prices are subject to applicable taxes
  • We reserve the right to modify pricing with 30 days’ notice

Billing and Renewals

  • Subscriptions automatically renew each month
  • You can cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial months

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to other tenants or systems
  • Use the Service to harass, abuse, or harm others
  • Reverse engineer or attempt to extract source code
  • Use automated tools to access the Service without permission

Data Ownership and Security

Your Data

  • You retain ownership of all Production Data uploaded to your tenant
  • You are responsible for the accuracy and legality of your data
  • You grant us permission to process your data to provide the Service

Data Security

  • We implement industry-standard security measures
  • Each tenant’s data is completely isolated from others
  • Data is encrypted in transit and at rest
  • We maintain regular backups of your data

Data Retention

  • Your data is retained while your subscription is active
  • Upon cancellation, data is retained for 30 days for potential recovery
  • After 30 days, data is permanently deleted unless legally required to retain

Service Availability

We strive to maintain high availability but cannot guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice
  • Experience unexpected downtime due to technical issues
  • Temporarily suspend service for security or legal reasons

Intellectual Property

Our Rights

  • MAGDA platform, software, and documentation are our intellectual property
  • You receive a limited, non-exclusive license to use the Service
  • You may not copy, modify, or distribute our software

Your Rights

  • You retain rights to your Production Data and content
  • We do not claim ownership of your business processes or methodologies

Third-Party Services

The Service integrates with third-party providers:

  • Stripe: Payment processing (subject to Stripe’s terms)
  • Microsoft Azure: Cloud hosting and infrastructure
  • Other integrations: As specified in your tenant configuration

Your use of third-party services is subject to their respective terms and conditions.

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to the amount paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for data loss, business interruption, or lost profits
  • We are not liable for actions of third-party service providers

Service Termination

By You

You may terminate your subscription at any time through your account settings or by contacting support.

By Us

We may terminate or suspend your access for:

  • Violation of these Terms
  • Non-payment of subscription fees
  • Illegal or harmful use of the Service
  • Extended inactivity (with 30 days’ notice)

Effects of Termination

Upon termination:

  • Your access to the Service ceases immediately
  • Your data is retained for 30 days for potential recovery
  • You remain liable for any outstanding fees

Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. We disclaim all warranties, express or implied, including:

  • Merchantability and fitness for a particular purpose
  • Uninterrupted or error-free operation
  • Compatibility with your specific systems
  • Accuracy or completeness of results

Governing Law and Disputes

These Terms are governed by the laws of the European Union and the jurisdiction where our company is established.

For any disputes:

  1. First attempt informal resolution by contacting support@magdaquality.com
  2. If unresolved, disputes will be handled through binding arbitration
  3. EU consumers retain rights under applicable consumer protection laws

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through:

  • Email notification to your registered address
  • Notice in your tenant dashboard
  • Updated terms posted on our website

Continued use of the Service after changes constitutes acceptance of new terms.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
